1. Acceptance of Terms
Welcome to SASU ("SASU," "we," "us," or "our"). By accessing or using our website, platform, or services (collectively, the "Services"), you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, you may not access or use our Services.
These Terms constitute a legally binding agreement between you and SASU Ltd. Please read them carefully before using our Services.
2. Definitions
Throughout these Terms, the following definitions apply:
- "Creator" means any individual who creates, publishes, or shares travel itineraries through the SASU platform.
- "Traveller" means any individual who browses, enquires about, or books travel itineraries through the SASU platform.
- "Itinerary" means any travel plan, guide, or recommendation created by a Creator and published on the SASU platform.
- "Booking" means a confirmed reservation made by a Traveller for travel services based on an Itinerary.
- "Commission" means the percentage of a Booking value paid to a Creator as compensation.
- "Content" means any text, images, videos, photographs, or other materials uploaded, submitted, or displayed on the platform.
- "Supplier" means hotels, tour operators, transport providers, and other third-party service providers whose services are included in Bookings.
3. Eligibility and Account Registration
3.1 Age Requirement
You must be at least 18 years of age to create an account and use our Services. By registering, you represent and warrant that you meet this age requirement.
3.2 Account Creation
To access certain features of our Services, you must create an account. When creating an account, you agree to:
- Provide accurate, current, and complete information
- Maintain and promptly update your account information
- Maintain the security and confidentiality of your login credentials
- Accept responsibility for all activities that occur under your account
- Notify us immediately of any unauthorised use of your account
3.3 Account Verification
We may require verification of your identity, social media accounts, or other credentials before activating certain features. We reserve the right to refuse registration or cancel accounts at our discretion.
4. Creator Terms
4.1 Creator Eligibility
To become a Creator on SASU, you must:
- Have personally experienced the trips you share
- Provide accurate and truthful information about your travel experiences
- Have the right to share any photos, videos, or content you upload
- Comply with all applicable laws and regulations
4.2 Creator Responsibilities
As a Creator, you agree to:
- Provide accurate descriptions of accommodations, activities, and experiences
- Disclose any material relationships with Suppliers (e.g., sponsorships, partnerships)
- Not misrepresent the quality, nature, or availability of travel services
- Respond promptly to enquiries from potential Travellers when requested
- Update or remove Itineraries that are no longer accurate or available
- Not engage in any fraudulent, misleading, or deceptive practices
4.3 Content Standards
All Content submitted by Creators must:
- Be original or properly licensed for use on our platform
- Accurately represent the travel experience
- Not contain false, misleading, or deceptive information
- Not infringe any third-party intellectual property rights
- Not contain offensive, harmful, or inappropriate material
- Comply with advertising standards and disclosure requirements
4.4 No Employment Relationship
Creators are independent contractors and not employees of SASU. Nothing in these Terms creates an employment, partnership, joint venture, or agency relationship between Creators and SASU.
5. Traveller Terms
5.1 Booking Acknowledgements
By making a Booking through SASU, you acknowledge and agree that:
- Itineraries are created by independent Creators based on their personal experiences
- Travel conditions, availability, and pricing may change from what is depicted
- You are responsible for verifying visa requirements, travel advisories, and health recommendations
- You travel at your own risk and are responsible for obtaining appropriate travel insurance
- SASU acts as an intermediary and does not directly provide travel services
5.2 Traveller Responsibilities
As a Traveller, you agree to:
- Provide accurate booking information and travel documentation
- Review and understand the terms and conditions of each Supplier
- Obtain appropriate travel insurance for your trip
- Comply with all Supplier policies, local laws, and regulations
- Behave respectfully toward Suppliers, local communities, and the environment
6. Bookings and Payments
6.1 Booking Process
When you submit a booking enquiry or make a Booking through SASU:
- You authorise us to arrange travel services on your behalf
- Final pricing and availability are subject to confirmation by Suppliers
- A Booking is not confirmed until you receive written confirmation from SASU
- Prices are quoted in the currency specified and may be subject to exchange rate fluctuations
6.2 Payment Terms
Payment terms for Bookings:
- A deposit may be required to secure your Booking
- Full payment is typically due before the travel date as specified in your confirmation
- Payment methods accepted include credit cards and other methods as specified
- All payments are processed securely through our payment providers
- You are responsible for any additional fees charged by your bank or card issuer
6.3 Pricing
Prices displayed on Itineraries are indicative and based on information available at the time of creation. Final pricing will be confirmed during the booking process and may vary based on:
- Travel dates and seasonality
- Group size and room configurations
- Supplier availability and pricing changes
- Currency exchange rates
- Additional services or customisations requested
7. Commissions and Payouts
7.1 Commission Structure
Creators earn commissions on confirmed Bookings according to our tiered commission structure:
- Starter Tier (40%): 1+ confirmed booking
- Rising Tier (45%): 5+ bookings or $10,000+ total booking value
- Established Tier (50%): 15+ bookings or $50,000+ total booking value
- Elite Tier (55%): 50+ bookings or $150,000+ total booking value
Commission percentages are calculated as a share of SASU's platform fee on each Booking.
7.2 Payout Terms
Creator commissions are paid according to the following terms:
- Commissions are calculated after the Traveller completes their trip
- Payouts are processed after trip completion
- Minimum payout threshold may apply
- Creators are responsible for providing accurate payment information
- Creators are responsible for any applicable taxes on their earnings
7.3 Commission Adjustments
Commissions may be adjusted or withheld in cases of:
- Booking cancellations or refunds
- Fraudulent or misleading Itinerary content
- Breach of these Terms
- Disputes or chargebacks
8. Cancellations and Refunds
8.1 Cancellation by Traveller
Cancellation policies vary by Supplier and will be clearly stated in your booking confirmation. Generally:
- Cancellations made within the specified free cancellation period may receive a full refund
- Cancellations made after the free cancellation period may be subject to penalties
- No-shows typically forfeit the full Booking amount
- Some rates are non-refundable from the time of booking
8.2 Cancellation by Suppliers or SASU
In the event of cancellation by a Supplier or SASU:
- We will notify you as soon as reasonably possible
- We will offer alternative arrangements where available
- If no suitable alternative is available, you will receive a refund of amounts paid
- We are not liable for additional costs, losses, or damages resulting from such cancellations
8.3 Force Majeure
Neither SASU nor Suppliers shall be liable for cancellations, delays, or changes caused by events beyond reasonable control, including but not limited to: natural disasters, war, terrorism, pandemics, government actions, or travel restrictions.
9. Content and Intellectual Property
9.1 Creator Content Licence
By uploading Content to SASU, Creators grant us a non-exclusive, worldwide, royalty-free licence to:
- Use, display, reproduce, and distribute the Content on our platform
- Modify or adapt the Content for formatting and display purposes
- Use the Content in marketing and promotional materials
- Sublicence these rights to Suppliers and partners as necessary
Creators retain ownership of their original Content and may use it elsewhere.
9.2 SASU Intellectual Property
All SASU branding, trademarks, logos, website design, and platform features are the property of SASU Ltd. You may not use, copy, or reproduce any SASU intellectual property without our written permission.
9.3 Third-Party Content
Our platform may contain links to third-party websites or content. We do not endorse or assume responsibility for any third-party content, products, or services.
10. Prohibited Conduct
You agree not to:
- Violate any applicable laws, regulations, or third-party rights
- Submit false, misleading, or fraudulent information
- Impersonate any person or entity
- Upload malicious code, viruses, or harmful content
- Attempt to gain unauthorised access to our systems
- Scrape, harvest, or collect data from our platform without permission
- Interfere with or disrupt the operation of our Services
- Use our platform for any illegal or unauthorised purpose
- Circumvent any measures we use to restrict access to our Services
- Engage in any activity that could damage our reputation or business
- Contact Suppliers directly to circumvent SASU bookings
11. Limitation of Liability
11.1 Service Limitations
SASU provides a platform connecting Creators, Travellers, and Suppliers. We do not:
- Directly provide travel services, accommodations, or activities
- Guarantee the accuracy of Creator Content or Itineraries
- Control or supervise Suppliers or their services
- Guarantee availability, pricing, or quality of travel services
11.2 Disclaimer of Warranties
Our Services are provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.
11.3 Limitation of Damages
To the maximum extent permitted by law, SASU and its officers, directors, employees, and agents shall not be liable for:
- Any indirect, incidental, special, consequential, or punitive damages
- Loss of profits, revenue, data, or business opportunities
- Personal injury or property damage arising from travel
- Actions or omissions of Suppliers, Creators, or third parties
- Technical failures, interruptions, or errors in our Services
Our total liability for any claim arising from these Terms or our Services shall not exceed the amount you paid to SASU in the twelve (12) months preceding the claim.
12. Indemnification
You agree to indemnify, defend, and hold harmless SASU and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising from:
- Your use of our Services
- Your violation of these Terms
- Your violation of any third-party rights
- Your Content (for Creators)
- Your travel activities (for Travellers)
- Any dispute between you and a Supplier or other user
13. Termination
13.1 Termination by You
You may terminate your account at any time by contacting us. Termination does not affect any Bookings already confirmed or commissions already earned.
13.2 Termination by SASU
We may suspend or terminate your account at any time, with or without cause, including for:
- Violation of these Terms
- Fraudulent or illegal activity
- Conduct harmful to other users, Suppliers, or SASU
- Extended inactivity
- At our discretion for any reason
13.3 Effect of Termination
Upon termination:
- Your right to access our Services will cease immediately
- Outstanding Bookings will be honoured according to their terms
- Earned commissions will be paid according to standard payout terms
- Provisions of these Terms that should survive termination will remain in effect
14. Dispute Resolution
14.1 Informal Resolution
Before initiating any formal dispute proceedings, you agree to contact us and attempt to resolve the dispute informally for at least thirty (30) days.
14.2 Governing Law
These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to conflict of law principles.
14.3 Jurisdiction
Any disputes arising from these Terms or our Services shall be subject to the exclusive jurisdiction of the courts of England and Wales.
14.4 Disputes with Suppliers
Disputes regarding the quality or delivery of travel services should be directed to the relevant Supplier. SASU will assist in facilitating communication but is not a party to contracts between Travellers and Suppliers.
15. Privacy
Your privacy is important to us. Our collection, use, and protection of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.
By using our Services, you consent to the collection and use of your information as described in our Privacy Policy.
16. Modifications to Terms
We reserve the right to modify these Terms at any time. Changes will be effective when posted on our website with an updated "Last updated" date.
We will provide notice of material changes through email or prominent notice on our platform. Your continued use of our Services after changes are posted constitutes acceptance of the modified Terms.
If you do not agree to the modified Terms, you must stop using our Services and may terminate your account.
